2. Engagement and Payments:

2.1 Engagement: Clients must sign an agreement or approve a formal proposal to initiate services.

2.2 Payment Terms:

A 50% advance payment is required before the commencement of any project.
The remaining balance must be cleared upon project completion or as per agreed milestones.
Payments are non-refundable unless explicitly stated in writing.

2.3 Late Payments: Late payments may incur an additional fee of 2% per month on the outstanding balance.

3. Confidentiality and Data Protection:

3.1 Client Data: All information shared by the client will remain confidential and will not be disclosed to third parties without prior consent, except as required by law.

3.2 Security: Digital Preeyam employs industry-standard practices to safeguard client data but cannot guarantee absolute security due to the nature of online environments.

4. Intellectual Property Rights:

4.1 Ownership: All deliverables, including content, designs, and marketing campaigns, remain the property of Digital Preeyam until full payment is received. Upon payment, ownership is transferred to the client.
4.2 Usage Rights: Digital Preeyam reserves the right to showcase completed projects in its portfolio unless otherwise agreed in writing.

5. Client Responsibilities:

5.1 Timely Inputs: Clients must provide all necessary information, approvals, and materials required for the project in a timely manner.
5.2 Accuracy: Clients are responsible for ensuring the accuracy of the information provided. Digital Preeyam is not liable for errors resulting from incorrect client inputs.

6. Performance and Results:

6.1 No Guarantees: While Digital Preeyam strives to deliver the best results, we do not guarantee specific outcomes such as search engine rankings, traffic, or revenue increases, as these depend on factors beyond our control.
6.2 Third-Party Platforms: Digital Preeyam is not responsible for changes in algorithms or policies of third-party platforms (e.g., Google, Facebook) that may impact performance.

7. Liability:
7.1 Limitations: Digital Preeyam is not liable for any indirect, incidental, or consequential damages arising from the use of our services.
7.2 Maximum Liability: Our liability is limited to the amount paid by the client for the specific service in question.

8. Termination:
8.1 By Client: Clients may terminate the agreement by providing a 15-day written notice.
8.2 By Digital Preeyam: Digital Preeyam reserves the right to terminate the agreement if the client breaches the terms or fails to make timely payments.
8.3 Post-Termination: Upon termination, all outstanding dues must be cleared, and any pending work will be delivered as per the payments received.

9. Dispute Resolution:
In case of disputes, both parties agree to attempt resolution through mutual discussion. If unresolved, disputes will be subject to arbitration under Indian law.

10. Governing Law:
These terms and conditions are governed by the laws of India. Any legal proceedings will be conducted in the courts of Kolkata, West Bengal.

11. Amendments:
Digital Preeyam reserves the right to update these terms and conditions at any time. Clients will be notified of significant changes.
